Verizon Communications Inc. has announced the successful acceptance of amounts for its exchange offers for newly issued notes due 2035. The exchange offers involved the 10 outstanding series of notes maturing from 2025 through 2028, collectively referred to as the Old Notes. The accepted amounts and pricing terms were determined based on the Original Early Participation Date. Verizon will settle all Old Notes that were validly tendered and accepted for exchange on August 9, 2024, while continuing to accept for purchase any Old Notes tendered after the Original Early Participation Date until the Expiration Date. The New Notes, which will not be registered under the Securities Act of 1933, are expected to be issued on the Early Settlement Date. Eligible Holders who participate in the exchange offers will receive the applicable Total Exchange Price, which includes the Early Participation Payment.
